Winning a damages lawsuit over a real estate development partnership agreement
Overview
While the client and a business partner were constructing and selling a new building, the client faced the risk of a forced auction due to financial difficulties and sold the property to a third party. A dispute then arose with the partner over whether the sale was justified and how the partnership property should be settled.
Attorney Jaehoon Lee represented the client in the litigation.
Key Issues
The key issues were whether the disposition of the partnership property was justified, whether the sale price was appropriate, and how profits and losses should be settled under the partnership agreement. In particular, the question was whether the change of use and additional construction costs required by amendments to the building laws should be reflected in the valuation of the property.
Our Work
Attorney Lee analyzed the amendments to the building laws and the need for additional construction work, and pointed out the flaws in an appraisal that did not reflect them. He also argued that the disposition of the property was justified based on the risk of a forced auction and the circumstances of the sale, and responded to the other side's arguments by analyzing the profit and loss sharing provisions of the partnership agreement.
Result
Considering the circumstances at the time of the sale, including legal restrictions on the building, additional construction costs, and the risk of a forced auction, the court found that the disposition of the property was justified. As a result, the client prevailed in the damages dispute arising from the partnership.
