Overview

After the shares and management control of a company were transferred, its former CEO sued the company, claiming that he had lent it money in the past and seeking repayment.

The company denied that the loan claim existed at all, and a separate lawsuit for the return of shares involving the former management was also underway.

Attorney Jaehoon Lee represented the company on appeal in the loan repayment lawsuit.

Key Issues

The key issues were whether the loan claim asserted by the former CEO actually existed, and whether funds sent to an account held in a third party's name could be recognized as a loan to the company.

In particular, at issue were the evidentiary weight of the loan agreement and receipt prepared in the company's name, the actual circumstances of the transfers and where the funds ultimately went, and the distinction between debts of the former managers personally and debts of the company.

Our Work

Attorney Lee analyzed the process by which control of the company was transferred, the debt schedules prepared at the time, the share purchase agreement and the records of related litigation, and contested the existence of the claim asserted by the plaintiff.

In particular, he examined how the loan agreement and receipt submitted by the plaintiff had been prepared and whether they matched the actual money transactions, analyzed account transaction records obtained through a court order for the production of financial transaction information, and argued that there was insufficient evidence that the funds sent had gone to the company or been used for its benefit.

He also stressed that the former managers' personal money transactions must be distinguished from the company's debts, set out specific inconsistencies between the plaintiff's claims and the actual financial transaction records, and argued the appeal contesting the company's liability to repay the loan.
