Lawsuit for the return of shares contesting the validity of a share transfer agreement and control of the company after an acquisition
Overview
After the shares and management control of a company were transferred, its former manager and shareholders sued for the return of shares, claiming that a separate conditional agreement had been made at the time of the share transfer.
The former manager's side claimed that it had been agreed that some of the company's shares would be transferred back to them on conditions including repayment of existing debts, raising additional funds, and completion of a real estate development project.
Attorney Jaehoon Lee represented the defendants, including the share purchaser, in the lawsuit for the return of shares.
Key Issues
The key issues were whether a separate oral agreement to return some of the shares existed when the share purchase agreement was signed, and whether such an agreement would affect the validity of the share transfer agreement and the ownership of the shares.
In particular, the parties disputed whether an agreement between persons who were not parties to the share transfer agreement could bind the rights and obligations of the actual parties to the share transfer, and whether there were problems with the plaintiffs' intention to bring the lawsuit and their standing to sue.
Our Work
Attorney Lee analyzed the share purchase agreement, the circumstances of the acquisition, and records concerning the existing debts and the real estate development project, and contested the existence and validity of the conditional oral agreement asserted by the former manager's side.
In particular, he reviewed the company's financial condition and collateral value at the time of the acquisition, the feasibility of raising additional funds, and the record of debt repayment after the acquisition, and pointed out inconsistencies between the claimed terms of the agreement and their reasonableness on the one hand and the actual course of the transaction on the other.
He also analyzed investigation records from a related criminal case and statements of the people involved to rebut the other side's proof that the oral agreement existed, and distinguished the legal relationship between the parties to the share transfer agreement from that of the parties to the alleged separate agreement in order to contest the legal basis for the claim for the return of shares.
In addition, he raised issues concerning whether the intention of some plaintiffs to bring the lawsuit had been confirmed, and argued the case at first instance to preserve the validity of the share transfer and the transfer of management control.
