Overview

In this case, a financing intermediary was indicted on charges of deceiving a company executive and defrauding him of money while raising funds needed for a corporate merger and acquisition and stock transactions.

The defendant had been involved in raising funds and purchasing shares on several occasions, and the prosecution treated the money transactions and stock-related payments made in that process as fraud.

Attorney Jaehoon Lee served as defense counsel and handled the defense at trial.

Key Issues

The key issue was whether the payments made in the course of the acquisition loans and share purchases were genuinely for repaying loans and for stock transactions, or were money obtained by fraud through the defendant's deception.

In particular, the questions were the actual structure of the complex financial transactions and how the funds moved, the credibility of the complainant's statements, and whether deception and intent to defraud, as required for fraud, could be found.

Our Work

Attorney Lee analyzed loan agreements, promissory notes, receipts, financial transaction records, and stock transaction records to reconstruct how the fundraising and share purchases had actually taken place.

In particular, he traced the movement of funds by cross-checking financial institutions' transaction information, the issuance and payment records of checks, and deposit and withdrawal records of the related accounts, and argued that the payments at issue had been made in the course of loans and stock transactions requested by the complainant.

He also analyzed inconsistencies between the complainant's statements and the objective financial records, as well as changes and contradictions in those statements, and emphasized that the fraud charges had not been sufficiently proven.

Result

The client was acquitted at trial of fraud charges under the Act on the Aggravated Punishment of Specific Economic Crimes arising from acquisition financing and stock transactions.
