Legal advice for a Korean business owner's U.S. restaurant, from market entry through operation and sale

Overview

The client, who had moved from Korea to the United States, was preparing for a restaurant business in the United States.

Jaehoon Lee provided ongoing legal advice from the formation of the U.S. entity and the premises lease, through various contracts and an employment issue that arose during operations, to the later sale of the business.

Key Issue

Starting and operating a business in the United States raises different legal issues at each stage, including entity formation, commercial leases, contracts and employment relationships.

In this matter, it was important to review the contracts needed at each stage of the business and to respond to the legal risks and disputes that arose during operations.

Work Performed

In the early stage, support was provided for forming the LLC, and the Operating Agreement, the Commercial Lease and various business contracts were drafted and reviewed.

During operations, advice was given on contracts, and a response was made to a discrimination claim following an employee's termination: the relevant facts and legal grounds were reviewed and the client's position was conveyed to the other side. The matter was resolved without escalating into litigation or administrative proceedings.

Later, contract review and legal advice were also provided for the Asset Sale in the sale of the business.

Result

Legal advice was provided at each key stage, from forming the client's U.S. entity and starting the business, through local operations and the response to the employment issue, to the sale of the business.

In this way, the legal issues arising throughout the business were addressed on an ongoing basis.
